Schaltbau Holding AG: Capital increase; Notification of acting-in-concert

• Capital increase by 7.44 % without subscription rights resolved
• Ms. Alexandra Cammann and Messr. Florian Schuhbauer and Klaus Röhrig announce to control 689,798 voting rights (corresponding to 11.21 %) by acting-in-concert

München (Germany), May 11, 2017. Supervisory Board and Executive Board of Schaltbau Holding AG, München (Germany), WKN: 717030, ISIN: DE0007170300, have resolved to increase the registered capital of the Company from currently EUR 7,505,671.80 by EUR 558,247.60 to EUR 8,063,919.40, through a capital increase against cash by issuing new bearer shares with voting rights (ordinary stock without nominal value (no-par shares) excluding subsription rights for shareholders and based on the Authorized Capital (§ 5 no. 3 of the By-Laws) .
 
The price of the new shares amounts to EUR 34.1149 per share and is thereby not significantly below the public quote of the already traded shares of equal endowment and kind. 
 
The shares are being placed at selected investors. The measure intends to increase the finacial flexibilty of the Company on short notice, and to foster ties to long-term-oriented shareholders. 
 
The new shares will participate in earnings as of January 1, 2017 retroactively. 
 
Voting rights notifications about acting-in-concert 
 
Schaltbau Holding AG, München (Germany), WKN: 717030, ISIN: DE0007170300, has received voting rights notifications from Ms. Alexandra Cammann and Messr. Florian Schuhbauer and Klaus Röhrig. It is stated therein that through acting-in-concert (and in the case of Messr. Schuhbauer and Röhrig also by acquistion/disposal of voting rights) a total of 689,798 voting rights (corresponding to 11.21 %) is being controled as of May 5, 2017
