Schaltbau Holding AG sells SBRS Charging Solutions to Shell

  • Shell secures fast-charging infrastructure specialist and plans further expansion of charging services for e-vehicles
  • Growth opportunities for SBRS in context of Shell’s transformation target of net-zero emissions in transport sector

Munich, 19th August 2022 – Schaltbau Holding AG signed an agreement for the sale of SBRS GmbH (Charging Solutions) to Shell Deutschland GmbH. In recent years, SBRS Charging Solutions has established itself as a leading specialist for fast-charging infrastructure solutions for e-buses in Germany with numerous reference projects, including those in Cologne, Osnabrück and Münster. E-mobility products and services are an essential part of Shell’s efforts to decarbonise and achieve its transformation target of net-zero emissions in the transport sector. With the acquisition of SBRS, Shell is adding charging infrastructure solutions for e-commercial vehicles to its own range in Germany. Schaltbau wants to focus its e-mobility activities primarily on the components business and therefore sees better development opportunities for SBRS Charging Solutions with the infrastructure provider Shell. The transaction is still subject to meeting customary market prerequisites, including antitrust clearance, and is set to be completed in the course of 2022. The two parties have agreed not to disclose the purchase price and further details of the transaction.

SBRS – sale after split into Charging Solutions and Rail Solutions 

 Based in Dinslaken, SBRS GmbH has historically operated in two different business fields: on the one hand in the Rail Solutions market, which primarily comprises refurbishment, i.e. the modernisation of trains and rolling stock, and on the other hand in the Charging Solutions business with high-performance charging infrastructure solutions for the e-vehicle fleets of municipalities, transport operators and companies. 

These two business fields were legally separated on 1 August 2022. The former Rail Solutions business field of SBRS GmbH has been operating under the name GEZ GmbH (Gesellschaft für elektrische Zugausrüstung) since 1 August 2022 and continues to be a wholly owned subsidiary of Schaltbau Holding AG. The Charging Solutions business field remained in SBRS GmbH and is now being sold to Shell Deutschland GmbH. Schaltbau Holding AG was assisted by Macquarie Capital as its sole M&A advisor. Gleiss Lutz acted as legal advisor in the transaction.
